NCP-IP Checklist and Practical Guide for Academic Spin-offs

Every academic spin-off is unique and distinct. On this page, you will find a non-binding letter of intent (LOI) confirming that the parties to the LOI are in negotiations to enter into a contract. The LOI is intended to outline the status of the negotiations and their seriousness; however, it is legally non-binding in the sense that there is no entitlement to the conclusion of the intended contract. There is a version with legal commentary, one without legal commentary, and an English version.

You will also find the NCP-IP Spin-off Checklist on this page. It is designed to support startup teams and universities in their spin-off processes. The checklist summarizes the most important points that must be considered when establishing an academic spin-off in a checklist and a subsequent practical handbook.
